  • Representation of a large Japanese company in the acquisition of a subsidiary of a publicly-traded manufacturer of cellular telephone equipment. Transaction amount - $100 million.
  • Representation of a public company in the sale of the company’s portfolio of multi-family tax credit properties. Transaction amount - $30 million.
  • Representation of a specialty foods grocery chain in leasing of retail facilities throughout California.
  • Representation of a southern California engineering firm in the development of an engineering plant for the extraction of natural gas, including obtaining developer REPI credits.
  • Representation of a lender in (i) the documentation of a construction loan, and (ii) the review and approval of the land use documents (including public finance documents) for the development of a large retail-commercial project, including the Kodak Theater, in Hollywood, California. The construction loan amount was approximately $500 million.
  • Representation of mortgage bankers, brokers, wholesalers and servicers in licensing and regulatory compliance nationwide, and sale of loans to investors. Prepared financing documents to raise equity.
  • Served as outside general counsel to the mortgage banking subsidiary of a publicly-traded bank holding company also owning a commercial bank. Served as outside general counsel to a finance lender specializing in the origination and servicing of mobile home loans.
  • Represented real estate investors in equity offerings under Regulation D.
  • Representation of an international non-profit in the development of a tax credit low-income housing development in Hollywood, California. Formation of the limited partnership and negotiation of the financing documents.
  • Representation of financial institutions as follows: mixed collateral problem loan workouts; loss-share agreements with the FDIC, managing and servicing of assets acquired under FDIC loss-share agreements.
  • Serve as corporate counsel to a payment processor.
  • Expert Witness – Arbitration – The effect of limited liability and claw back provisions for a Delaware Series Limited Liability Company Agreement – Client prevailed in the arbitration.
  • Negotiation of a strategic alliance between a regulated state chartered bank and a licensed mortgage broker (California).
  • Analysis of development options for commercial real estate in Riverside County, Ca. Research of low-income housing issues and approvals.
  • Outside general counsel fora mortgage brokerage (QM-Qualified Mortgages). Prepared convertible notes and warrants for nationwide loan broker participation.
  • Representation of parties in SBA guarantied loan transactions.
  • Served as an expert regarding the filing of regulatory complaints with the Office of the Comptroller of Currency and the Securities and Exchange Commission.
  • Representation of a private lender in a real estate secured transaction.
  • Representation of an international asset manager on a loan participation with a California bank as agent.
