Roger D. Loomis practices corporate and securities law, specializing in corporate finance and mergers and acquisitions. He honed his skills in a large law firm environment, working on public offerings, including IPOs in the U.S. and abroad, mergers and acquisitions, dispositions, strategic alliances, corporate joint ventures, and related complex corporate transactions. He then went in-house as general counsel, and spearheaded what was, at $300 million, one of the largest biotech IPOs at that time. In addition, he earned an LL.M. in taxation and an MBA.
Mr. Loomis’ practice includes:
- Public offerings, including IPOs, mergers and acquisitions, dispositions, strategic alliances and corporate joint ventures, both domestic and cross-border.
- Private placements of securities, including investments by venture capitalists and private equity funds.
- Preparation and filing of SEC current and periodic reports, proxy material and related disclosure documents.
- Financing transactions, including secured/unsecured loans, revolving credit facilities, and leveraged buy-outs.
- Employment agreements, severance agreements, and other executive compensation and bonus arrangements.
- Adoption of stock option and restricted stock plans, and other equity and performance-based compensation plans.
- Working with clients ranging from small family-owned businesses to large, publicly held, multinational corporations.
- Advising boards of directors, including special committees and senior management on issues including discharge of fiduciary duties, corporate governance, governmental investigations, management transitions, restructuring, downsizing, and related matters.
Mr. Loomis is admitted to practice in California (1974) and New York (1976). He is a member of the American Bar Association, the State Bar of California, and the Los Angeles County Bar Association, and is a member and past Chair of the Executive Committee of the latter’s Business and Corporations Law Section.
